DISPATCH-CARRIER AGREEMENT

Read all terms before signing

1. Parties

This Dispatch-Carrier Agreement ("Agreement") is entered into between Pacific West Team, a freight dispatch and consultation company located at 11175 Azusa Ct #110, Rancho Cucamonga, CA 91730 ("Dispatcher"), and the carrier identified in this onboarding application ("Carrier").

2. Scope of Services

Dispatcher agrees to provide freight dispatch services on behalf of Carrier, including but not limited to: sourcing available freight loads from licensed freight brokers and shippers, negotiating rates on behalf of Carrier, communicating load details, pick-up and delivery information to Carrier, and handling paperwork related to load assignments. Dispatcher does not hold broker authority and acts solely as an agent on behalf of Carrier.

3. Dispatcher's Role & Limitations

Carrier acknowledges that Dispatcher acts as an agent, not as a freight broker, and does not take legal or financial responsibility for any freight moved under this agreement. All contracts for transportation are between Carrier and the freight broker or shipper directly. Dispatcher is not liable for load cancellations, rate reductions, or losses incurred by Carrier in the course of operations.

4. Service Fees

Carrier agrees to pay Dispatcher a flat monthly fee as agreed upon at the time of onboarding, based on fleet size:

  1. 1 truck: $500/month flat rate
  2. 2-5 trucks: $500 base + $250 per additional truck/month
  3. 6-20 trucks: $500 base + $200 per truck (trucks 6+)/month
  4. Accounting add-on: $35/truck/week (billed weekly)

Fees are due on the 1st of each month. Dispatcher reserves the right to pause services if payment is not received within 5 business days of the due date.

5. Term & Termination

This Agreement is month-to-month with no long-term commitment. Either party may terminate this Agreement with 7 days written notice via email. Upon termination, Carrier remains responsible for any outstanding invoices. Dispatcher may immediately terminate this Agreement if Carrier violates FMCSA regulations, operates without valid insurance or authority, or engages in fraudulent activity.

6. Carrier Responsibilities

Carrier is solely responsible for: maintaining valid operating authority (MC/DOT), maintaining required insurance coverage at all times, compliance with all federal and state transportation regulations (FMCSA, DOT, HOS), safe operation of all vehicles, timely pick-up and delivery of all accepted loads, immediate notification to Dispatcher of any accidents, citations, or authority changes.

7. Insurance Requirements

Carrier must maintain at minimum: Auto Liability coverage of $750,000 (or as required by FMCSA), Cargo Insurance of $100,000, and General Liability if required by shipper. Carrier must provide Dispatcher with a current Certificate of Insurance upon request and notify Dispatcher immediately upon any lapse or cancellation of coverage.

8. Load Acceptance & Refusal

Carrier retains the right to accept or refuse any load presented by Dispatcher. Once a load is accepted and a rate confirmation is signed by Carrier, Carrier is bound to complete the load under the terms agreed. Load cancellations after acceptance may result in broker penalties which are the sole responsibility of Carrier.

9. Confidentiality

Both parties agree to keep all broker contact information, shipper details, and business practices confidential. Carrier shall not contact brokers sourced by Dispatcher directly for a period of 12 months following termination of this Agreement without Dispatcher's written consent.

10. Limitation of Liability

In no event shall Dispatcher be liable for indirect, incidental, special, or consequential damages arising from dispatch services. Dispatcher's total liability under this Agreement shall not exceed the total fees paid by Carrier in the three (3) months preceding any claim.

11. Independent Contractor

Carrier is an independent contractor, not an employee of Dispatcher. Nothing in this Agreement creates an employment, partnership, or joint venture relationship. Carrier is responsible for all taxes, insurance, and regulatory compliance related to their operations.

12. Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved in San Bernardino County, California.

13. Entire Agreement

This Agreement, together with the information provided in the onboarding application, constitutes the entire agreement between the parties and supersedes all prior discussions or agreements. Modifications must be in writing and signed by both parties.

By signing below, Carrier acknowledges that they have read, understood, and agree to all terms of this Dispatch-Carrier Agreement.
